Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ACA Delivery mobile application and website at acadelivery.com (collectively, the "Platform"), operated by Acadex Logistics LLC, doing business as ACA Delivery ("we," "us," or "our"). By creating an account or using our Platform, you agree to be bound by these Terms.

1. Overview of Services

ACA Delivery operates as an auto transport brokerage platform that connects customers who need vehicles shipped with qualified, licensed, and insured motor carriers. Our Platform facilitates:

• Vehicle shipping quotes based on real-time distance calculation
• Booking and scheduling of vehicle transport
• Real-time GPS tracking of shipments
• Photo-documented vehicle inspections at pickup and delivery
• In-app messaging between customers and drivers
• Payment processing and invoicing
• Inspection report generation and delivery

ACA Delivery is a licensed property broker. We are not a motor carrier and do not directly transport vehicles. We arrange transportation services through our network of independent carriers.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Platform.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activity that occurs under your account.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access to your account.

2.4 Driver Accounts

Driver accounts require a valid Commercial Driver's License (CDL), active DOT registration, and proof of cargo insurance meeting minimum federal requirements. We reserve the right to verify credentials and deny or revoke access to drivers who do not meet our standards.

3. Quotes and Pricing

• Quotes provided through the Platform are estimates based on the information provided, including distance, vehicle type, transport method, and current market conditions.
• Final pricing is confirmed at the time of booking and may differ from the initial estimate if shipment details change (e.g., vehicle condition, address accessibility, scheduling changes).
• Prices include carrier transport cost and ACA Delivery broker service fee.
• Additional services such as enclosed transport, expedited shipping, and inoperable vehicle handling are available at additional cost as disclosed at the time of booking.
• We reserve the right to adjust pricing to reflect market conditions, fuel costs, and seasonal demand.

4. Booking and Shipment Process

4.1 Booking Confirmation

A booking is confirmed when a customer completes the booking process and a carrier accepts the load. Confirmation does not guarantee a specific pickup time; pickup windows are estimates based on carrier availability and routing.

4.2 Customer Responsibilities

• Provide accurate vehicle information including year, make, model, and condition
• Ensure the vehicle is accessible at the pickup location
• Be present (or designate a representative) at pickup and delivery for vehicle inspection and signature
• Provide keys, alarm remotes, and any necessary documentation
• Remove all personal belongings from the vehicle (items left in the vehicle are not covered by carrier insurance)
• Disclose any modifications, damage, or mechanical issues that may affect transport

4.3 Driver Responsibilities

• Maintain valid CDL, insurance, and DOT registration throughout the engagement
• Complete thorough photo inspections at pickup and delivery
• Maintain active location tracking during shipment for customer visibility
• Communicate pickup and delivery timelines and any delays promptly
• Handle all vehicles with professional care during loading, transport, and unloading
• Comply with all applicable federal and state transportation regulations

5. Vehicle Inspections

• Drivers are required to conduct comprehensive photo inspections at both pickup and delivery
• Inspection documentation includes exterior photos from all angles, mileage verification, and notation of any existing damage
• Both customer and driver must review and sign the inspection report digitally
• Inspection photos and reports are retained for 90 days following delivery for claims purposes
• Customers may request inspection reports be emailed to them at the time of inspection

6. Payment Terms

• Payment is due as specified at the time of booking
• Accepted payment methods include credit/debit cards processed through Stripe, as well as cash, Zelle, cashier's check, or money order at delivery (COD) where applicable
• All prices are quoted in US dollars
• Failure to render payment may result in the carrier retaining possession of the vehicle until payment is received

7. Cancellation and Refund Policy

• Before carrier assignment: Cancellations are free of charge
• After carrier assignment, before pickup: A cancellation fee of up to $150 may apply to compensate the carrier for scheduling
• After pickup: Cancellations after pickup are not permitted. If the shipment must be rerouted or terminated, additional fees will apply
• Refunds, when applicable, are processed within 5-10 business days to the original payment method

8. Insurance and Liability

8.1 Carrier Insurance

All carriers in our network maintain cargo insurance as required by the Federal Motor Carrier Safety Administration (FMCSA). Coverage amounts vary by carrier.

8.2 Damage Claims

• Any damage must be noted on the delivery inspection report at the time of delivery
• Damage claims must be filed within 48 hours of delivery by contacting ACA Delivery
• Claims are processed through the carrier's insurance. ACA Delivery will facilitate the claims process but is not the insuring party
• Inspection photos serve as primary documentation for claim resolution

8.3 Limitation of Liability

ACA Delivery acts as a broker arranging transportation services. Our liability is limited to the broker service fee paid to ACA Delivery. We are not liable for acts, omissions, delays, or damage caused by the motor carrier performing the transportation. To the maximum extent permitted by law, ACA Delivery shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Prohibited Conduct

You agree not to:

• Provide false, misleading, or incomplete information
• Use the Platform to arrange the transport of illegal, hazardous, or prohibited items
• Circumvent the Platform to arrange private transactions with users you met through ACA Delivery
• Harass, threaten, or abuse other users or ACA Delivery personnel
• Interfere with or disrupt the Platform or its infrastructure
• Attempt to gain unauthorized access to other users' accounts or data
• Use automated systems (bots, scrapers) to access or collect data from the Platform
• Violate any applicable laws or regulations

10. Intellectual Property

All content, features, and functionality of the Platform — including text, graphics, logos, icons, software, and the overall design — are the property of Acadex Logistics LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. You may delete your account at any time by contacting us.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Texas. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Indemnification

You agree to indemnify, defend, and hold harmless Acadex Logistics LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

14. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our Platform and updating the Effective Date. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ACA Delivery regarding your use of the Platform.
